WhatI discovered is that the Uplay window is open in the background whilst running AC2 and that is the cause of the flicker. Once AC2 was running, I alt-tab'd back to the desktop and minimized the Uplay window to the taskbar, and then clicked on the AC2 icon in the taskbar to return to game, and bam no more flickers. #1.
